Brian provides advice on all aspects of general business law for start-ups and for established business clients. His services include advising clients on their business organization's structure and governance; including : sole proprietorships, partnerships, corporations, joint ventures and others; and assisting with client's commercial activities; including services related to: the purchase or sale of businesses or its divisions, branches or outlets; asset or share purchase transactions; corporate governance and restructuring; mergers; amalgamations; financing transactions and other contractual activities related to the everyday requirements of small to medium sized businesses in British Columbia.
Brian's clients often require traditional, IP law services, namely, the creation and management of IP assets which include patents, trade-marks, copyrights, industrial designs, trade secrets, unprotected brand assets and proprietary information. Brian provides advice and opinion related to the validity, registrability, title, and infringement of all forms of Canadian IP rights. He is occupied daily with the drafting, review and negotiation of contracts involving intellectual properties. These include: licenses in and out, intellectual property development, transfer and research, agreements; confidentiality and non-disclosure agreements; and domain name registrations, transfers, and dispute resolution.
Specifically experienced in the commercialization of new products and services, Brian is often retained to: draft, review and negotiate contracts including: software development, software licensing, purchase, sale and maintenance of business assets generally, IT employment, consulting and professional services, information and database licensing, on-line service contracts, web hosting, development and digital broadcast licenses. Further Brian will generally design, implement and provide for the maintenance of essential legal programs in the commercialization, distribution and authorized uses of proprietary technologies.
When newly out of law school, Brian helped to establish in Ottawa, what is now one of Canada's leading IP law firms - with offices throughout the country. Marriage then brought him to Vancouver, where Brian opened his firms' first branch office. Two years later, Brian joined a "Top Tier" national law firm where he continued his practice in intellectual property and information technology law. After a further two years, Brian moved once again and established his own firm with offices in the historic Rogers Building, at the corners of Granville and Pender Streets in downtown Vancouver.
Throughout his professional career, Brian has advised a relatively small group of young and dynamic business clients; always keenly aware of the value proposition legal services must provide to a young and growing business. His own entrepreneurial business experiences in software development and digital video production and broadcast have further provided Brian with valuable insight into some of the daily concerns of his clients.
